Agreement
These Terms of Service ("Terms") are an agreement between you and AuraOne, Inc., a Delaware corporation ("SignalDeck", "we", "us"), and govern your use of SignalDeck, including signaldeck.us, app.signaldeck.us, the API, the MCP server, link-in-bio pages, and approval and report links (the "Service"). If you use the Service for an organization, you agree for that organization and confirm you have authority to bind it; "you" then means the organization. By creating an account, signing in, or using the Service, you accept these Terms and our Privacy Policy. If your organization has a separate signed agreement with us, that agreement controls where it conflicts with these Terms.
Eligibility and accounts
You must be at least 16 years old and able to form a binding contract. Give accurate account information and keep it current. You are responsible for all activity under your account and your organization's workspaces, including activity by people you invite and by API keys and integrations you create. Keep your password, sign-in links, and API keys secure, and tell us promptly at [email protected] if you suspect unauthorized access.
Organizations, roles, and clients
Organization owners and admins control who can access each workspace and what they can do. You are responsible for assigning roles appropriately, for the actions of your members, clients, and reviewers, and for having the right to share client content with them. Client approval and report links work for anyone who has the link until they expire or are revoked; share them only with intended recipients.
Connected social accounts
You may connect only social accounts you own or are authorized to manage, and you authorize SignalDeck to access and act for those accounts within the permissions you grant. Each network's terms, developer policies, community guidelines, and advertising rules continue to apply to you and your content. Networks can change or withdraw features, rate limits, or access at any time; when they do, some SignalDeck features for that network may stop working, and we are not responsible for a network's actions or availability.
Approvals and publishing
SignalDeck publishes a post only after it has been approved in the Service according to your workspace's approval settings. You are responsible for reviewing and approving content, schedules, and destinations, and for the consequences of what you approve. We record a receipt for each publish attempt and check results with the network, but networks can delay, alter, reject, or remove posts, and a network can fail in ways that leave the outcome uncertain; in that case SignalDeck marks the attempt as uncertain for you to review rather than posting again. You should check important posts on the network.
Your content
You keep all rights to the content you put into the Service: posts, media, comments, messages, and other materials ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, adapt (for example, resize or transcode media for a network), and display Your Content only as needed to provide, secure, and support the Service and as you direct, including publishing it to the accounts you connect. You confirm that you have all rights, licenses, and consents needed for Your Content, including consent from people who appear in your media and permission to use any music, trademarks, or third-party material, and that publishing it will not violate law or anyone's rights.
Acceptable use
You must not use the Service to:
- Violate any law or the terms or policies of a connected network.
- Publish content that is unlawful, defamatory, harassing, hateful, sexually exploitative of minors, or that infringes intellectual property or privacy rights.
- Send spam, run coordinated inauthentic behavior, manipulate engagement, impersonate others, or operate fake accounts.
- Mislead people about who is speaking, including undisclosed paid endorsements where disclosure is required.
- Distribute malware, or probe, scan, overload, or bypass the security, rate limits, or access controls of the Service or a network.
- Access another organization's data, or scrape, copy, or resell the Service except as these Terms allow.
- Reverse engineer the Service except where the law permits despite this restriction.
- Use the Service to build a competing product or benchmark it for publication without our written consent.
We may remove content, pause publishing, or suspend access to protect the Service, its users, or the public, or to comply with law or a network's requirements. Where reasonable, we will tell you why and give you a chance to fix the problem.
AI features
AI features generate suggestions, such as caption drafts, replies, and media descriptions, that can be inaccurate, incomplete, or similar to content generated for others. AI output is never published without human approval in the Service, and you are responsible for reviewing it before you approve it. Don't rely on AI output for legal, medical, financial, or other professional advice. We do not use Your Content to train AI models.
API, MCP, and AI agents
You may use the SignalDeck API and MCP server with API keys you create, within the scopes you grant, the rate limits we publish, and these Terms. You are responsible for every action taken with your keys, including by AI agents or automations you connect. API keys cannot approve content created by the person who created the key or by the key itself. We may change the API with reasonable notice for breaking changes, and we may revoke keys that are compromised or used in violation of these Terms.
Subscriptions, billing, and trials
Some features require a paid plan. Plans are billed in advance on a monthly basis through our payment processor, Stripe, and renew automatically until cancelled. Prices exclude taxes, which you will pay where applicable. You can cancel at any time in the billing portal; cancellation takes effect at the end of the current billing period, and fees already paid are not refunded except where the law requires. If a payment fails we may retry it and, after notice, limit the account to read-only access until it is resolved. We may change prices with at least 30 days' notice before the change applies to your next billing period. Free plans and trials may be limited, changed, or ended at any time.
Privacy and data protection
Our Privacy Policy explains how we handle personal data. For personal data in Your Content, we act as your processor under our Data Processing Addendum, which forms part of these Terms for customers subject to data protection laws that require one.
Our intellectual property and feedback
We and our licensors own the Service, including its software, design, and trademarks. These Terms give you a limited, non-exclusive, non-transferable right to use the Service during your subscription and do not grant any other rights. If you send us feedback or suggestions, we may use them without obligation to you.
Third-party services
The Service works with third-party services, including social networks, Google, Microsoft, Dropbox, Stripe, and others. Your use of those services is governed by their terms, and we are not responsible for them.
Suspension and termination
You can stop using the Service and close your organization at any time. We may suspend or terminate your access if you materially breach these Terms and do not fix the breach within 10 days of notice, immediately if needed to prevent harm, legal liability, or a network's enforcement action, or if your account is unpaid after notice. On termination, your right to use the Service ends. For 30 days after termination, owners can export workspace data on request, except where we terminated for illegal content; after that we delete it as described in the Privacy Policy. Sections that by their nature should survive termination will survive.
Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that any post will be published, reach any audience, or achieve any result, or that networks will keep their features or access available.
Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility. Our total liability for all claims relating to the Service in any 12-month period will not exceed the greater of the amounts you paid us for the Service in the 12 months before the claim and US$100. These limits do not apply to your payment obligations, a party's indemnity obligations, or liability that cannot be limited by law.
Indemnity
You will defend and indemnify SignalDeck and its affiliates, officers, and employees against third-party claims, and the resulting losses and costs (including reasonable legal fees), arising from Your Content, your connected accounts, your use of the Service in violation of these Terms or the law, or a network's claim based on your activity.
Changes to the Service and these Terms
We improve the Service continually and may add, change, or remove features. If we remove a material feature of a paid plan, we will give reasonable notice. We may update these Terms; we will post the new version here with its effective date and, for material changes, notify account owners by email or in the product at least 30 days before they take effect. Continuing to use the Service after that date means you accept the updated Terms.
Governing law and disputes
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute relating to these Terms or the Service, and both parties consent to that jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer in a country whose law gives you the right to bring claims in your local courts or under your local law, nothing in these Terms limits that right.
General
These Terms, with the Privacy Policy, the Data Processing Addendum where applicable, and any order form, are the entire agreement between you and us about the Service. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or in a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us go to [email protected]; notices to you go to the email address on your account.
